Basic Policy on Procurement

The procurement activities of the Z Holdings Group, comprised of Z Holdings Corporation and its consolidated subsidiaries and affiliates, are based on the following polices.

Basic Policy on Procurement

  1. 1. Offering Fair Opportunities for Competition

    Information on purchasing transactions is disclosed in a timely and appropriate manner. Along with offering fair opportunities for competition to all domestic and international business partners and suppliers wishing to engage in the transactions, we refrain from relying too heavily on specific business partners and suppliers or reciprocal buying arrangements.
  2. 2. Rational Selection of Business Partners and Suppliers

    In principle, we obtain proposals and quotes from multiple business partners and suppliers. Our selection is based on clear and rational criteria, including quality, price, delivery date, stability of supply, and reliability.
  3. 3. Compliance with Laws and Regulations

    We do not participate in purchasing that infringes the rights, such as intellectual property rights, of third parties. We also comply with the Subcontract Act, the Antimonopoly Act, and all other relevant laws.
  4. 4. Management of Confidential Information

    We recognize the value of confidential information received from business partners and suppliers, handling it as we would with similar information of our own, and do not disclose such information to third parties without consent.
  5. 5. Building Mutual Trust

    By prioritizing communication with our business partners and suppliers, we do not neglect our efforts to build relationships of mutual trust.
  6. 6. Environmental Conservation

    We prioritize environmental conservation by focusing procurement on products and services with low environmental impacts.
  7. 7. Ban on Personal Relationships

    We do not have personal relationships with or vested interests in any of our business partners or suppliers.
  8. 8. CSR Initiatives

    We recognize the importance of carrying out our social responsibilities throughout the supply chain, which includes our business partners and suppliers, in continuing our business. To that end, we value and expect partners and suppliers to actively participate in their CSR activities as well as to cooperate in our CSR initiatives.
  9. 9. Collection and Analysis of Corporate Information

    In order to build positive relationships with our business partners and establish fair and transparent partnerships, we collect and analyze data, including financial information, according to evaluation criteria stipulated separately, and take a comprehensive approach to assessing and selecting business partners and suppliers.
  10. 10. Approaches to Social Problems

    We respond to international efforts and frameworks for addressing social problems (poverty, conflicts, etc.) and put emphasis on contributing to their solutions. On this basis, we exclude products and services that are deemed to potentially exacerbate the problems from our procurement selection.

To Our Suppliers

  1. 1. Transaction Methods

    To promote the procurement activities stated above, in principle, we use electronic trading systems.
  2. 2. Ordering

    In addition to the use of electronic trading systems, we require written declarations of intent to be submitted as a requirement to initiate transactions. Please understand that oral promises and unofficial orders in the body of an e-mail will not be accepted.
  3. 3. Corporate Governance

    To strengthen corporate governance, we are strictly forbidden to disclose estimates to employees with no ordering authority, gather information on other companies, and appeal for orders.

    Proactive consideration of environmental issues

    Compliance with laws prohibiting underage employment
    No forced, binding, or slave labor and guarantees that employees can freely discontinue employment after giving reasonably advanced notice
    Considerations towards employees' human rights and discrimination issues
    Working hours that are in compliance with laws and regulations and are not excessive
    Reasonable working hours according to occupation, job description, and the labor situation in the country in which work is conducted

    Employee understanding of employment conditions and provision of fair and reasonable salary payments and terms
    Guaranteed legal minimum wage for the country in which work is conducted
